These Terms of Use ("Terms") are between ImgBase, Inc. ("ImgBase", "we", "us", or "our") and you, our customer ("you" or "your"), and govern your use of ImgPlay for Android, our GIF and video editing app (the "Service" or "ImgPlay"). Please read these Terms carefully before using ImgPlay.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
This Agreement includes our Privacy Policy. Please review our Privacy Policy to learn about the information we collect from you, how we use it, and with whom we share it.
Subject to these Terms, we grant you access to the Service. It is your responsibility to make sure your use of the Service is legal where you use it. You retain your rights in your own content.
ImgPlay performs media editing and export on your device and does not automatically upload your original media or the media you create to ImgBase's servers. If you choose to use Wi-Fi file transfer, share through another app, or send content to support, files may be transferred as part of the action you choose. Storage or synchronization by your device, photo library, or other services is subject to your settings and those services' terms.
This description concerns media files. Purchase, search, usage, and diagnostic information may be processed separately. Please review our Privacy Policy for information about data handling.
Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Service and as permitted by the features of the Service. We may terminate this license at any time for any reason or no reason.
The Service and its original content, features, and functionality are and will remain the exclusive property of ImgBase, Inc. and its licensors. The Service and its original Content (“ImgPlay Content”) are protected by copyright, trademark, patent, trade secret, and other laws of both the United States and foreign countries. ImgBase owns and retains all rights in the ImgPlay Content, Trademarks, and Trade Dress and the Service.
Except as permitted by the Service's features, an applicable license, or applicable law, you may not copy, lease, redistribute, sublicense, sell, rent, reverse engineer, decompile, disassemble, modify, or create derivative works of the app itself or ImgBase's proprietary Service content.
The restrictions on copying or redistributing the app itself do not transfer ownership of your original content to ImgBase. GIFs, stickers, fonts, and other materials provided by third parties remain subject to the rights and license terms that apply to those materials. Access through ImgPlay does not by itself grant you ownership of those materials or unrestricted rights to use or redistribute them.
You will be responsible for any and all content that originates from you and that you use with or through the Service. You are solely responsible for the consequences of posting or publishing any content created, modified or otherwise used by you through the Service. ImgBase, Inc. does not endorse any such content and ImgBase, Inc. expressly disclaims any and all liability in connection with such content.
You represent and warrant that you have (and will continue to have during your use of the Service) all necessary licenses, rights, consents, and permissions which are required with respect to the content used by you in conjunction with the Service. You hereby warrant and represent that:
(a) you are the sole owner of and/or hold all rights in and to your content;
(b) there are no restrictions, limitations which prevent or restrict you from using such content in conjunction or through the Service and
(c) your content will not: (i) facilitate or promote illegal activity, or contain content that is illegal; (ii) contain content that is defamatory, misleading, fraudulent, obscene, distasteful, racially or ethnically offensive, harassing, or that is discriminatory based upon race, gender, color, creed, age, sexual orientation, or disability; (iii) contain sexually suggestive or explicit content; (iv) infringe upon or violate any right of any third party; (v) disparage, defame, or discredit ImgBase or any third party; (vi) contain any viruses, worms, Trojan horses and other disabling or damaging codes; or (vii) otherwise contain content that violates any laws, rules, regulations or policies of any competent jurisdiction.
You agree that you will not post or upload any content which contains material which it is unlawful for you to possess in the country in which you are resident.
You agree that content you use with or in conjunction with the Service will not contain any third party copyright material or material that is subject to other third party proprietary rights (including rights of privacy or rights of publicity), unless you have a formal license or permission from the rightful owner, or are otherwise legally entitled to make such use of the content.
Our Service may contain links to third-party websites or services that are not owned or controlled by ImgBase. ImgBase has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that ImgBase shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
Purchases made through Google Play are processed by Google Play, not directly by ImgBase. Before confirming a purchase, review the price, billing period, and any trial or promotional conditions shown in the app and on the Google Play purchase screen. Product availability and offers may vary.
Some features may be offered through recurring subscriptions. Available billing periods, such as weekly, monthly, or annual periods, depend on the plan offered to you and are shown before purchase. An automatically renewing subscription continues for successive billing periods unless you cancel before the next renewal, subject to Google Play's applicable terms.
If your purchase includes a free trial, introductory price, or promotional discount, the offer's eligibility, duration, and subsequent renewal price are those disclosed before purchase. When the offer ends, the subscription renews at the disclosed regular price unless you cancel in time. Price changes and any required notice or consent are handled in accordance with Google Play's policies and applicable law.
Manage a Google Play subscription using the Google Account used to make the purchase. Open Google Play subscriptions, choose ImgPlay, and complete the cancellation steps shown there. In the Google Play app, the subscription list is under your profile's Payments & subscriptions menu. See Google Play's subscription help for the current instructions.
If you cannot find your subscription, check that you are using the Google Account used for the purchase. Removing ImgPlay from your device does not stop subscription renewal. After cancellation, access normally continues until the paid period ends, subject to the purchase terms and any applicable refund or store action.
Where offered, some features may be purchased with a one-time payment. A one-time purchase is not an automatically renewing subscription. The features and conditions included are those disclosed when you purchase the product.
To restore an eligible purchase, use the app's purchase restoration option while signed in to the Google Account used for the original purchase. Restoration depends on the product and Google Play's records and conditions. Contact us if you need help with a purchase that is not recognized.
Refund eligibility and processing are subject to applicable law and Google Play's refund policies. Cancelling a subscription stops future automatic renewals; cancellation alone does not request or guarantee a refund. You agree and acknowledge that the use of the Service is at your own risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. ImgBase, Inc., its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected, or c) the results of using the Service will meet your requirements.
These Terms shall be governed and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any dispute/lawsuit do arise between us, out of or in relation to or in connection with these Terms or for the breach thereof, they shall be submitted to the competent court having jurisdiction over the place where the head office of ImgBase is located.
You agree to defend, indemnify and hold harmless ImgBase, Inc. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use of and access to the Service; b) a breach of these Terms; c) content posted on the Service, or d) any content obtained from the Service.
We may, in our sole discretion, modify or update this Agreement from time to time, and so you should review this page periodically. When we change the Agreement in a material manner, we will update the ‘Last Updated’ date at the top of this page. Your continued use of the Service after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Service.
